CCAC AGM 2023
NOTICE OF MEETING
Notice is hereby given that the Annual General Meeting of CENTRAL COAST AERO CLUB LIMITED will be held in the communal hangar, Warnervale Aerodrome, 25 Jack Grant Ave, Warnervale on Sunday, 5th May, 2024 at 12 noon.
BUSINESS:
- To receive and consider the report of the Directors and the Auditor, the Profit and Loss Statement and the Balance Sheet as at the 30th June, 2023.
- To consider any matter of which due notice has been given.
- To appoint scrutineers for the ballot of the election of the Board.
- To elect members of the Board in accordance with Article 48
- To vote on election of the award of Life memberships to two long-serving Club members in accordance with article 15, those members being Andrew Coulthard and James Stewart.
- To consider an amendment to the CCAC Articles of Association:
To consider and, if thought fit, to pass the following resolution as a special resolution:
That Article 54 of the Articles of Association of the Central Coast Aero Club be amended by adding the following words to the end of Article 54:
“Notwithstanding the prior sentence, the Board is authorised and has been authorised:
to enter into one or more agreements that may or will lead to a swap of Lots 211 and 212 in deposited plan 812718 (the Original Land) in exchange for a block or blocks of land which, in aggregate, have substantially similar proportions to, and are adjacent to, the Original Land on such terms as the Board considers appropriate, and to take any and all such steps as may be necessary to comply with any such agreements to complete the swap.”
Explanatory Statement
As members are aware, there have been discussion with Council as part of the new Airport Masterplan for Warnervale Airport under which the Club would swap its current land for a land just to the south of the current land. Under Article 54, the Board would be required to obtain a positive vote of at least 75% of members to authorise the swap. Many members are not actively interested in such matters and the Board is concerned that compliance with Article 54 may be challenging should some members be unavailable to vote in favour of a resolution. The resolution proposes to make an amendment to the Constitution to give a specific authorisation to complete the swap.

DIRECTORS
In accordance with Article 48, three Directors must retire at each Annual General Meeting. The three Directors to retire in accordance with Article 48 are Anthony Brown, Andrew Smith and Bob Clout, all being eligible for re-election.
AUDITOR
The Company’s Auditor is Mr Martin Le Marchant of Bishop Collins Audit Pty Limited in accordance with the Corporations Law.
